Terms of Service

1. Agreement

By accessing or using Flama Labs' website or services, you agree to these Terms. If you do not agree, do not use our services.

2. Services

We offer AI development services, including game development and custom AI applications. Specific deliverables, fees, and timelines are defined in individual statements of work (SOWs).

3. Client obligations

• Provide timely information, access, and approvals.
• Ensure you have rights to materials you supply.
• Comply with applicable laws and regulations.

4. Intellectual property

Unless otherwise agreed in writing, clients own final deliverables upon full payment. We retain ownership of pre-existing IP, tools, frameworks, and know-how used to deliver services.

5. Confidentiality

Both parties agree to keep confidential information secret and use it only to perform under an SOW. Mutual NDAs are available upon request.

6. Payment

Fees, invoicing, and payment terms are set out in SOWs. Late payments may incur fees. Work may pause for overdue invoices.

7. Warranties and disclaimers

Services are provided "as is". We disclaim all implied warranties to the fullest extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages. Our aggregate liability is limited to amounts paid in the preceding three months.

9. Termination

Either party may terminate an SOW for material breach after notice and cure period. Upon termination, you pay for work performed to date.

10. Governing law

These Terms are governed by the laws of the jurisdiction specified in the applicable SOW, without regard to conflict of laws.

11. Changes

We may update these Terms. Continued use after changes means acceptance. We will update the effective date above.
